Working with BIG

Terms & Conditions

These terms explain the basis on which BIG Scotland provides business-advisory services and the terms that apply when you use this website or engage us.

Last updated: 4 October 2026

1. About us

BIG Scotland provides business-advisory services to owner-managed businesses, founders and organisations. The legal entity operating BIG Scotland and our formal company details are set out in section 20, Legal information, below.

2. Business use

BIG Scotland provides business-advisory services to businesses, founders, owners and organisations acting for business purposes. Unless we expressly agree otherwise in writing, our services are not offered to individuals acting wholly or mainly as consumers.

3. Using this website

The material on this website is provided for general information and to explain how BIG Scotland works. It is not legal, tax, accounting, investment or regulated financial advice and should not be relied upon as a substitute for advice from an appropriately qualified professional.

We aim to keep the website accurate and useful, but we do not guarantee that every page will always be complete, current or error-free. We may update, remove or change website content without notice.

4. The complimentary conversation

Our initial conversation is complimentary and carries no obligation to purchase services. We can begin at a high level without you disclosing confidential or commercially sensitive information. Its purpose is to understand your business, discuss the issue or opportunity you have raised and decide whether there appears to be a worthwhile reason to explore working together.

Before we discuss or ask you to share any confidential, commercially sensitive or sensitive business information, we will provide our non-disclosure agreement (NDA) for both parties to sign. Once the NDA is in place, information covered by it will be handled in accordance with its terms and the confidentiality provisions below.

The conversation is preliminary. It is not a full diagnostic review, formal recommendation or promise that a particular result can be achieved.

5. The BIG Business Review

Where we agree that a closer examination is worthwhile, we may offer the BIG Business Review as a defined paid piece of work. The website currently describes the Review at from £950 + VAT.

Before work begins, we will confirm the scope, price, information we require and any material assumptions. If an agreed proposal or statement of work differs from this website, the written proposal or statement of work will take priority for that engagement.

The Review is intended to identify and prioritise commercial opportunities and issues. It does not include implementation, specialist professional advice or extensive research unless expressly included in writing.

6. Other advisory engagements

Any work beyond the complimentary conversation and the defined BIG Business Review will be scoped separately. We will normally confirm the work, intended outcomes, fees, timing and any important assumptions before you commit.

Where there is any conflict between these website terms and a signed proposal, engagement letter or statement of work, the more specific written agreement will take priority for that engagement.

7. Your responsibilities

To help us provide useful advice, you agree to:

  • provide information that is accurate and complete to the best of your knowledge;
  • tell us about material facts or changes that could affect our work;
  • make relevant people and information reasonably available where agreed;
  • review our assumptions, findings and recommendations and raise questions promptly; and
  • make your own final decisions about whether and how to act.

We are entitled to rely on information you provide unless we have agreed that we will independently verify it.

8. Fees, VAT and payment

Fees will be stated in the relevant proposal, invoice or agreed scope. VAT will be added where applicable.

Unless a different payment schedule is agreed in writing, invoices are payable within the period stated on the invoice. We may pause work where an undisputed invoice remains overdue after reasonable notice.

Reasonable third-party costs or expenses will only be charged where they have been agreed with you in advance or are clearly included in the agreed scope.

9. Changes, postponement and cancellation

Either party may ask to change the scope or timing of an engagement. Any material change may require us to revise the fee, timetable or deliverables, which we will agree before carrying out the additional work.

Cancellation or postponement terms for a particular piece of work may be stated in the relevant proposal or engagement letter. Where no specific cancellation terms have been agreed, you remain responsible for work already completed and for non-cancellable third-party costs properly incurred for the engagement.

10. Confidentiality and non-disclosure

Before we discuss or ask you to share any confidential or commercially sensitive information, we provide our NDA for both parties to sign.

We recognise that working with BIG Scotland may require you to share information that you would not normally disclose outside your business. This may include financial information, margins, pricing, customer or supplier information, internal processes, staffing matters, commercial plans, business performance, opportunities, weaknesses and other non-public information.

We will treat confidential information you provide or make available to us as confidential and use it only for the purposes of considering, preparing for or delivering our services, together with related administration and legal or regulatory requirements.

We will not share confidential information learned from your business with another client or competitor. We will not identify you as a client, publish your results, disclose identifiable details of our work with you or use your business as a case study or testimonial without your explicit permission.

Access to confidential information will be limited to those who reasonably need it for the relevant purpose. We may disclose confidential information to our professional advisers, technology providers, contractors or other service providers where this is reasonably necessary to support our work or operate our business, provided that appropriate confidentiality and data-protection obligations apply. We may also disclose information where required by law, regulation, court order or another binding legal obligation.

Unless a separate NDA or engagement agreement states otherwise, confidentiality does not apply to information that is already lawfully in the public domain through no breach of an obligation, was lawfully known to us before disclosure, is independently developed without use of the confidential information, or is lawfully received from another source without a duty of confidence.

Where we sign a separate NDA with you, that NDA forms part of the basis on which confidential information is shared. If there is any conflict between this section and the signed NDA, the signed NDA will take priority in relation to confidentiality.

11. Intellectual property

We retain ownership of our pre-existing methods, know-how, templates, frameworks, tools, branding and materials.

Once all relevant fees have been paid, you may use the reports, recommendations and other deliverables created specifically for your business for your own internal business purposes, unless we agree broader rights in writing.

You may not resell, publish, licence or commercially exploit our proprietary materials for third parties without our written permission.

12. AI and third-party tools

We may use appropriate technology, including AI-assisted tools, research tools, software and third-party services, to support analysis, drafting, administration or delivery. We remain responsible for our own judgement and for the advice we choose to provide to you.

We will take reasonable care over what confidential or personal information is entered into third-party systems and will use such tools in a manner consistent with our confidentiality and data-protection obligations.

13. Business decisions and results

Our role is to provide independent perspective, analysis, ideas and recommendations. You remain responsible for management decisions, implementation and the operation of your business.

Commercial outcomes depend on many factors outside our control. Any discussion of possible revenue, savings, profit, return on investment or other benefit is an estimate or objective based on the information available at the time, not a guarantee of a particular result.

14. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that, and to the extent permitted by law, we will not be responsible for indirect or consequential loss, or for loss arising from decisions made without taking reasonable account of the scope, assumptions or limitations of our work.

Any specific liability limit stated in an agreed proposal, engagement letter or statement of work will apply to that engagement. Where a limitation of liability is important to a particular engagement, we will set it out expressly in the relevant written agreement.

15. Third-party services and links

Our website or advice may refer to third-party websites, software, specialists or service providers. Unless expressly agreed otherwise, they are independent of BIG Scotland and we are not responsible for their services, availability, content or terms.

16. Ending an engagement

Either party may end an ongoing engagement in accordance with the relevant proposal or engagement letter. If no specific termination provision has been agreed, either party may end the engagement on reasonable written notice. Fees and properly incurred costs for work completed up to the termination date remain payable.

17. Governing law

Unless a specific written agreement says otherwise, these terms and any non-contractual obligations connected with them are governed by the laws of Scotland.

The courts with jurisdiction under the applicable law will have jurisdiction to resolve disputes, subject to any different dispute resolution process agreed in writing.

18. Changes to these terms

We may update these website Terms & Conditions from time to time. The version that applies to a particular paid engagement will be the version incorporated into or referred to by the agreement for that work, unless we agree otherwise in writing.
